Terms and Conditions for
Professional Services 

1. Interpretation 

1.1 In these terms: 

  • 'Client' means the person who accepts a quotation from ACS Learning and Consultancy Ltd. 

  • 'Company' means ACS Learning and Consultancy Ltd. 

  • 'Contract' means the agreement formed by accepting this quotation.

2. Quotation Basis 

  • Quotations are based on information provided by the client. 

  • Any deviations from initial information may result in additional fees. 

  • Quotation prices are guaranteed for 30 days from the date of issue.

3. Price and VAT 

  • All prices are exclusive of Value Added Tax (VAT). 

  • VAT will be added to invoices at the current standard rate. 

  • Pricing may be subject to revision if client-provided information is incomplete or inaccurate.

4. Commencement of Work 

  • No work will commence until a written order is received via post, email, or fax. 

  • A written or verbal order is considered acceptance of these terms and conditions

​

5. Resource Availability 

  • Resource availability is an estimate based on current work schedules. 

  • Time slots are not allocated until a formal instruction is received. 

  • Critical start dates should be verified at the time of order placement.

6. Cancellation 

  • If a confirmed job is cancelled at short notice, we reserve the right to issue a cancellation charge. 

  • Cancellation charges will cover work completed and any associated costs.

​

7. Access and Site Conditions 

  • The client is responsible for obtaining necessary access permissions. 

  • Unless specified, quotations assume standard site conditions at the time of quotation. 

  • Additional access requirements may incur extra charges.

8. Liability and Indemnity 

  • We shall not be held responsible for:  

  • Loss, damage, or injury arising from client actions or omissions 

  • Consequences of work carried out as per client instructions 

  • The client will indemnify us against all claims, costs, damages, and expenses arising from such acts. 

9. Materials and Damage 

  • Utmost care will be taken to minimize damage during investigations. 

  • Localised damage may occur during sampling or investigations. 

  • Unless specifically requested, damaged areas will be made 'safe' but not necessarily fully restored.

10. Payment Terms 

  • Invoices will be issued upon completion of services. 

  • Payment is due within 30 days of invoice date. 

  • We reserve statutory rights to claim:  

  • Interest at 5% per month on late payments 

  • Compensation for debt recovery costs 

  • We do not accept "Pay when paid" arrangements.

11. Confidentiality 

  • All client information will be treated as confidential. 

  • Information will not be shared without explicit permission. 

  • Exceptions may apply for legal or contractual requirements.

12. Intellectual Property 

  • Intellectual property rights for delivered services remain with ACS Learning and Consultancy Ltd. 

  • A license for use is granted upon full payment. 

​

13. Limitation of Liability 

  • Total liability is limited to the value of services provided. 

  • We are not liable for:  

  • Consequential losses 

  • Loss of profit 

  • Indirect damages

14. Governing Law 

  • The contract is governed by English law. 

  • Disputes will be subject to the jurisdiction of UK courts.

15. Force Majeure 

  • We are not liable for delays or failures due to circumstances beyond reasonable control. 

 

16. Products and Services Description

16.1 The products and services offered by ACS Learning and Consultancy Ltd. are as comprehensively described on our official company website www.acsrisk.com at the time of quotation.

16.2 We reserve the right to: 

  • Modify, update, or discontinue any products or services without prior notice 

  • Change product specifications, pricing, and service offerings 

  • Introduce new products or services 

  • Withdraw existing products or services from our portfolio

16.3 The descriptions, specifications, and details of our products and services on our website are provided to the best of our knowledge and are subject to change. While we strive to ensure accuracy, we do not guarantee that website descriptions will be entirely free from errors or omissions.

16.4 Any additional or specific details about products and services will be confirmed in the individual quotation or contract, which shall take precedence over general website descriptions.

16.5 Clients are advised to: 

  • Verify current product and service details at the time of quotation 

  • Confirm specific requirements with our sales team 

  • Review the most recent website information before making a decision

16.6 The company makes no warranties beyond those explicitly stated in the specific quotation or contract for each product or service.
